Commercial – Corporate Law

Commercial and corporate law are two important branches of private law that regulate commercial transactions and corporate relationships. Commercial law regulates the rights and obligations of traders and commercial transactions, while corporate law regulates the formation, operation and dissolution of commercial companies.

Commercial law

Commercial law deals with commercial transactions, i.e. transactions carried out between traders, or between traders and non-traders. Commercial transactions are, among others, the sale of goods, the provision of services, the execution of works, shipping, banking and financing.
Commercial law includes a series of rules that regulate the rights and obligations of traders and parties involved in commercial transactions. These rules concern, among other things, the interpretation of commercial contracts, liability arising from commercial transactions, commercial liability, and bankruptcy.

Corporate law

Company law regulates the formation, operation and dissolution of commercial companies. Commercial companies are legal entities created to carry out commercial transactions. The most common forms of commercial companies are:

  • The Limited Liability Company (E.P.E.)
  • The Private Capital Company (P.C.C.)
  • The General Partnership (G. P.) and
